Term of agreement/hours of consulting/consultant:
The agreement is for a minimum of six (6) consulting hours at the rate of one hundred and eighty five dollars ($185.00) per hour.
Relationship of GHR to client/employment:
Client and GHR are wholly independent entities with no other legal relationship other than the express terms of this Agreement. Nothing in this Agreement is intended either implicitly or expressly to create in any way shape or form any type of employment relationship between any principle, employee, officer, director, agent, independent contractor, family member or other individual associated with Affiliate and PS its principles, agents, officers, directors, employees, family members, independent contractors or other third parties associated with PS.
Compensation/invoices/confidentiality/placement fee:
Client agrees to pay directly to GHR the sum of one hundred and eighty five dollars ($185.00) per hour for each hour of consulting time with a minimum commitment of six hours. Upon completion of the investigation, the final payment will be processed using the payment method on record. The deposit previously received will be applied toward the outstanding balance prior to the execution of the final payment.
IT IS SOLELY THE RESPONSIBILITY OF GHR TO PAY CONSULTANT ANY AND ALL FEES. ALL CONTRACTUAL TERMS AND CONDITIONS BETWEEN CLIENT AND GHR ARE STRICTLY CONFIDENTIAL AND NOT TO BE DISCLOSED TO ANY THIRD PARTY INCLUDING THE CONSULTANT.
In the event Client decides to terminate this Agreement prior to the conclusion of any term other than the first term, Client agrees to pay all outstanding fees for any and all outstanding fees prior terms and for the portion of the term in which the Agreement was terminated and during which term Consultant performed any services.
Renewal/termination:
Due to the individualized nature of each investigation, this agreement will terminate upon the consultant concluding his/her investigation into all matters pertaining to the harassment allegations and rendering a written report of his/her conclusions to the Client.
Governing law/enforcement:
This Agreement shall be governed by and construed in accordance with the laws of the State of California.
Arbitration:
All parties to the agreement agree to resolve any disputes stemming from the agreement or any other aspect of the relationship between the parties whether based in contract, negligence or other legal basis in an arbitration format and forego their respective rights to judicial redress of their grievances. Both parties agree to select a mutually acceptable arbitrator and all rules of evidence according to California law shall apply. All parties agree to split the cost of arbitration equally and agree that any decision of the arbitrator is final and binding and shall not be appealed or otherwise challenged. Any arbitration award may be enforced in a court of law.
Assignment/Headings:
This Agreement may not be assigned by Client without the express written consent and authorization of GHR. GHR may freely assign its rights under this Agreement. Any and all headings used in this Agreement are strictly for convenience and have no legal significance or effect upon the terms of this Agreement.
Complete agreement:
This document represents the entirety of the agreement, and it cannot be supplemented, altered, changed or amended in any way, shape or form without the express written consent of both parties hereto.
